Agreement

This Agreement ("Agreement") is made and entered into as of the date of execution by and between:

Profitag Technologies Pvt Ltd

A Private Limited Company having its registered office at 22/A, Mhatre Plaza, Dahanukar Wadi, Kandivali West, Mumbai - 400067 (Hereinafter referred to as “Profitag” which expression shall unless it be repugnant to the context or meaning thereof be deemed to mean and include its subsidiary, successors and assigns) of the First PART

AND

Company Details as filled-in the schedule

The parties collectively referred to as the "Parties" and individually as a "Party."

These Terms constitute an electronic record within the meaning of the applicable law. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Please read the Conditions of Use document carefully. By visiting this page, you signify your agreement to be bound by these Conditions of Use ("Terms").

WHEREAS:

PROFITAG through its brand ‘LIGHT’ is a fintech Mobile App on Android and IOS for customers to avail Credit, Make UPI Payments & In-App shopping.
Partner is a firm, incorporated company associating with Profitag for offering its products/services at discount on Light App.

NOW, therefore in consideration of mutual understanding hereinafter contained and other consideration the sufficiency of which is hereby acknowledged, the Parties hereto, intending to be bound hereby, agree as follows:

1. Purpose

The purpose of this Agreement is to define the terms and conditions under which the Brand Partner will list and sell its Products on the LIGHT App, providing consumers with the ability to purchase the Products via our App.

2. Listing of Products

The Brand Partner agrees to provide accurate, complete, and up-to-date product information, including but not limited to descriptions, pricing, images, guarantee & warranty and specifications ("Product Information"). LIGHT reserves the right to review and approve all Product Information prior to listing on the App.

3. Sales and Payment

Payment Processing: LIGHT will handle all customer payments for Products purchased through the App. Payment processing will be subject to the LIGHT / www.lightcred.com payment gateway terms and conditions.
Settlement: After deducting the applicable commission, LIGHT will remit the payment for the Products sold to the Brand Partner on a bi-weekly basis, within 7 days of the end of each settlement period.

4. Marketing and Promotion

The Brand Partner may provide promotional materials for the purpose of marketing the Products within LIGHT. LIGHT will use commercially reasonable efforts to promote the Products via its platform, app notifications, and other marketing channels, but does not guarantee any specific level of sales or user engagement.

5. Disclaimer and Authenticity

Brand Partner’s Responsibility for Authenticity: The Brand Partner warrants and represents that all Products listed on the LIGHT are authentic, genuine, and free from any defects in design, materials, or workmanship. The Brand Partner shall provide the necessary proof of authenticity and certificates (if applicable) upon request by LIGHT or its users.
Product Quality: The Brand Partner agrees to ensure that the Products listed on the App comply with all applicable local, state, and national laws, including consumer protection laws, product safety regulations, and industry standards.
Disclaimer of Liability for Product Claims: LIGHT does not make any representations or warranties regarding the quality, safety, or legality of the Products sold by the Brand Partner. The Brand Partner assumes full responsibility for all claims, warranties, and liabilities arising from the Products sold via the App.

Disclaimer of Endorsement: The inclusion of any Product on the App does not constitute an endorsement, recommendation, or guarantee by LIGHT regarding the Product's performance, efficacy, or safety. LIGHT is a fintech app with in-app shopping and does not have control over the nature or quality of the Products sold by the Brand Partner.

6. Brand Partner’s Obligations

The Brand Partner agrees to:

Provide and maintain accurate and up-to-date information regarding their Products.
Ensure that Products comply with all applicable legal and regulatory requirements.
Handle all customer service inquiries related to the Products, including returns, refunds, and exchanges, unless otherwise agreed.
Keep LIGHT informed of any changes to product availability, pricing, or other material information that may affect its listing on the platform.
Ship & Deliver customer order within mentioned or reasonable delivery time.
Fulfil customer’s request for product return, exchange, complaint, replacement and any other obligation towards product and/or Brand.

7. LIGHT App’s Obligations

LIGHT agrees to:

Provide a digital platform for the Brand Partner to sell its Products.
Process payments for Product purchases and remit proceeds to the Brand Partner as described above.
Ensure a secure environment for transactions conducted through the App.
Pass on successful transaction customer information for further order fulfilment.
Pass on customer’s request for product return, exchange, complaint, replacement and any other obligation towards product and/or Brand.

8. Term and Termination

Term: This Agreement shall begin on the effective date and continue for a period of 3 years unless terminated earlier as provided herein.
Termination for Convenience: Either Party may terminate this Agreement at any time by providing 30 days written notice to the other Party.
Termination for Breach: Either Party may terminate this Agreement immediately if the other Party breaches any material term or condition of this Agreement and fails to cure such breach within 7 days after written notice of the breach.

9. Indemnity

Brand Partner Indemnity: The Brand Partner agrees to indemnify, defend, and hold harmless LIGHT, its officers, employees, and agents from any and all claims, damages, liabilities, and expenses arising out of the Brand Partner's breach of this Agreement, or the sale of its Products through LIGHT.
LIGHT Indemnity: LIGHT agrees to indemnify, defend, and hold harmless the Brand Partner, its officers, employees, and agents from any and all claims, damages, liabilities, and expenses arising out of the LIGHT App’s operations of the platform or its failure to properly process transactions.

10. Confidentiality

Each Party agrees not to disclose to any third party any confidential information or proprietary data of the other Party without prior written consent, unless required by law.

11. Privacy

At Profitag, we value your privacy and are committed to protecting your personal information. This Privacy Policy explains how we collect, use, store, and protect your data when you use our app or website. By using our services, you agree to the collection and use of information in accordance with this policy.

11.1. Information We Collect

We may collect the following types of information when you use our app ‘LIGHT’:

Personal Information: This includes your name, email address, phone number, payment details, and any other information you provide when you create an account or make a purchase.

Customers: Your Product/Service details are displayed to customers.

However, no method of data transmission over the internet or electronic storage is 100% secure, so we cannot guarantee absolute security.

For contractual purposes, you consent to receive communications (including promotional and / or commercial messages), from us with respect to your use of LIGHT App and www.lightcred.com.

You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy the legal requirements of a valid communication, in writing.

19. Access to website & app

We will do our utmost to ensure that availability of the website/app will be uninterrupted and that transmissions will be error-free. However, due to the nature of the internet, this cannot be guaranteed. Also, your access to the website/app may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.

20. License and website access

Subject to your compliance with these Terms, LIGHT grants you a limited license to access and make use of this website/app and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of LIGHT/ or its affiliates, as may be applicable. This license does not include any resale or commercial use of this website/app or its contents; any derivative use of this website/app or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. This website or any portion of this website/app (including but not limited to any copyrighted material, trademarks, or other proprietary information) may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of LIGHT and / or its affiliates, as may be applicable. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of LIGHT or its affiliates without their express written consent, as may be applicable. You may not use any meta tags or any other “hidden text” utilizing LIGHT name or trademarks without their express written consent. Any unauthorized use terminates the permission or license granted by LIGHT. You are granted a limited, non-assignable, revocable, and non-exclusive right to create a hyperlink to the home page of this website so long as the link does not portray LIGHT, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any logo or other proprietary graphic or trademark of LIGHT or its affiliates as part of the link without their express written permission.

21. Your activity

The website Sell on LIGHT is not intended for use by children. Use of this website is available only to persons who can form a legally binding contract under the Indian Contract Act, 1872. If you are a minor i.e., under the age of 18 (eighteen) years, you may use the website/app only with involvement of a parent or guardian. LIGHT reserve the right to refuse service, or remove or edit content in their sole discretion.

You agree to indemnify LIGHT and its affiliates for all claims arising from the products/services you supply. LIGHT has the right but not the obligation to monitor and edit or remove any activity or content or product/services. LIGHT takes no responsibility and assumes no liability for any content submitted by you or any third party.

Whilst LIGHT has used reasonable endeavors in compiling the information provided on the website, LIGHT provides no assurance as to its accuracy, completeness or usefulness or that such information is error-free. Any information provided on our website/app is provided on a good-faith basis. In certain cases, the content or products/services maybe provided by a third-party and is made available on an "as-is" basis. LIGHT hereby disclaims any and all liability and assumes no responsibility whatsoever for consequences resulting from use of such information. Information provided may be changed or updated or deleted at any time, without any prior notice. You agree to use the information, at your own risk and after verifying the information and expressly waive any and all claims, rights of action and/or remedies (under law or otherwise) that you may have against LIGHT arising out of or in connection with the use of such information. Any copying, redistribution or republication of the information, or any portion thereof, without prior written consent of LIGHT is strictly prohibited. 23. Disclaimer of warranties and limitation of liabilities

This website/app is provided by Profitag through its website www.lightcred.com and LIGHT App on an "as is" and "as available" basis. LIGHT makes no representations or warranties of any kind, express or implied, as to the operation of the website/app or the information, content, materials, or products included on this website. you expressly agree that your use of this website/app is at your sole risk. LIGHT reserves the right to withdraw or delete any information from the website/app at any time in its discretion.

To the full extent permissible by applicable law, LIGHT disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. LIGHT does not warrant that this website, its servers, or e-mail sent from LIGHT are free of viruses or other harmful components. LIGHT will not be liable for any damages of any kind arising from the use of this website, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

24. Indemnity and release

You shall indemnify and hold harmless LIGHT, its subsidiaries, affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party.

You hereby expressly release Profitag and / or its affiliates and / or any of its officers and representatives from any cost, damage, liability or other consequence arising from the use of this website and specifically waive any claims or demands that you may have in this behalf under any statute, contract or otherwise.

25. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. You agree, as we do, to submit to the exclusive jurisdiction of the courts at Mumbai.

26. Site/App Policies, modification and severability

We reserve the right to make changes to this website, app, policies, and these Terms at any time. You will be subject to the policies and Terms in force at the time that you use the website/app. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition of these Terms.

If you register as a seller on www.lightcred.com ("Website") or LIGHT Mobile App (Android & IOS), your activities on the Website will be governed by the conditions of use of the Website/App along with any other relevant policies.

27. Events beyond our reasonable control

We will not be held responsible for any delay or failure to comply with our obligations under these Terms if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.

28. Waiver

If you breach these Terms and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.

29. Our Address

30. Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India.
Dispute Resolution: Any disputes under this Agreement will be resolved through [mediation/arbitration] in Mumbai and the decision of the mediator/arbitrator shall be binding.
Entire Agreement: This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, whether oral or written, between the Parties.
Amendments: Any amendments to this Agreement must be in writing and executed by both Parties.

Settlement will be made post deducting payment gateway charges on actuals.
Settlement will be made for period ‘bi-monthly’ within 7 days of invoice raised.
